By engaging the services of Ross’s Tree Care Pty Ltd (operating as That Tree Bloke), you agree to these terms and conditions as set out below.
1.1 Client Responsibility: The client is responsible for ensuring that any tree pruning or removal has the correct consent from the landowner.
1.2 Legal Right: Ross’s Tree Care Pty Ltd (RTC) will take reasonable care to ensure that the client has the legal right to request tree cutting services. RTC will not be held responsible for actions undertaken without proper legal authority. The client agrees to indemnify RTC against any costs, legal fees, or fines resulting from unauthorized tree cutting instructed by the client.
2.1 Validity of Quotes: All quotes or estimates provided by RTC are valid for two weeks from the date of issuance.
2.2 Amendments: RTC reserves the right to amend quotations if a quote is accepted after the two-week validity period to cover any additional costs.
2.3 Contract Formation: A contract is formed upon acceptance of a quotation via email. Until such acceptance, RTC has no implied responsibility to complete the works as quoted and shall not be liable for any losses incurred by the client.
3.1 Payment Period: All invoices must be paid in full within 14 days of issuance.
3.2 Late Payments: If an account is not paid within 14 days, interest will be charged on the outstanding amount at a rate of 0.0547945% per day (equivalent to 20% per annum) until the account is paid.
3.3 Collections: In the event of default and referral to an external collection agency, the client will be liable for all costs associated with the recovery of the debt, including legal fees and commissions.
4.1 Access and Instructions: The customer shall ensure RTC is provided with reasonable instructions, directions, and access to perform the services. Failure to do so may result in increased fees.
4.2 Underground Services: The customer must accurately identify all underground services. Failure to do so may cause damage, which will be the customer’s responsibility to repair.
4.3 Site Conditions: RTC uses heavy machinery and equipment and will not be liable for minor damage to lawns or landscapes resulting from its operations.
5.1 Ownership: Ownership of all products supplied or installed by RTC remains with RTC until full payment is received.
5.2 Performance Delays: RTC will endeavor to complete services in a timely manner but will not be liable for any delays.
5.3 Security Interest: The customer agrees to grant RTC a security interest in the products until paid in full.
6.1 Defects: RTC is not liable for defects resulting from the customer’s actions or omissions.
6.2 Independent Assessment: The customer agrees that they have not relied on any representations not contained in these terms or the quote.
6.3 Losses: RTC is not liable for any loss that does not naturally flow from a breach of this agreement, including consequential business or profit loss.
7.1 Warranty: RTC provides a 12-month warranty against manufacturing defects for all products supplied.
7.2 Remedies: RTC will take reasonable steps to remedy defects during the warranty period.
7.3 Maintenance: The customer is responsible for maintaining the product in accordance with RTC specifications.
7.4 Notification of Defects: The customer must notify RTC of any defects within the warranty period. Failure to do so may void the warranty.
7.5 Void Warranty: The warranty may be voided by misuse, damage, or unauthorized repairs.
7.6 Consumer Rights: These warranty terms are in addition to any rights the customer may have under Australian consumer law.
8.1 Ownership: Unless otherwise agreed in writing, all designs and intellectual property created by RTC remain the property of RTC.
8.2 License: RTC grants the customer a non-exclusive license to use the designs. The customer may not reproduce or create derivative works from the designs without permission.
8.3 Protection: The customer must not invalidate RTC’s rights in the intellectual property and must assist in maintaining its validity.
9.1 Fees: The customer must pay the fees as outlined in the quote. Payment is due on completion of quoted works.
9.2 Changes to Quotes: All quotes are subject to change unless expressly agreed otherwise in writing. Changes to the work site such as newly erected structures after such works was quoted may incur additional charges.
9.3 Additional Costs: Delivery costs incurred by RTC will be charged in addition to the fees.
9.4 Currency and Taxes: All fees are in Australian dollars and exclude GST unless stated otherwise.
10.1 Confidential Information: Both parties acknowledge the confidentiality of information disclosed in connection with this agreement.
10.2 Permitted Disclosure: Confidential information may only be disclosed with the express consent of the other party, to employees as necessary, or as required by law.
10.3 Publicity: Neither party may advertise or publicly announce matters relating to this agreement without prior written consent.
11.1 Exclusions: RTC is not liable for any indirect or consequential losses. Liability is limited to the amount paid by the customer for the products or services.
12.1 Suspension: RTC may suspend services if a dispute arises until the dispute is resolved.
12.2 Termination by Notice: RTC may terminate this agreement with two weeks’ written notice.
12.3 Termination for Breach: Either party may terminate immediately for a breach that is incapable of remedy or not remedied within 30 days.
13.1 Suspension: Either party may suspend obligations due to war, strike, natural disaster, or similar events.
13.2 Termination: If a force majeure event continues for more than 30 days, either party may terminate the agreement with written notice.
14.1 Assignment: The customer may not assign rights under this agreement without RTC’s consent.
14.2 Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes all prior communications.
14.3 Amendments: Amendments must be in writing and signed by both parties.
14.4 Governing Law: This agreement is governed by the laws of Australia, and the parties submit to the jurisdiction of Australian courts.
15.1 Notice of Dispute: Parties must provide written notice of any dispute and nominate representatives for negotiation.
15.2 Mediation: Disputes should be settled through mediation conducted by an independent mediator.
15.3 Arbitration or Litigation: If mediation fails, parties may proceed to arbitration or litigation.
